Conceptos básicos del contrato
Un contrato (un acuerdo entre las partes para hacer algo o abstenerse de hacer algo a cambio de una contraprestación válida y legal) puede ser expreso o implícito. Un contrato expreso es aquel cuyos términos se expresan en palabras.
Un contrato implícito es aquel cuya existencia y términos se manifiestan por una conducta. Todos los contratos pueden ser orales, excepto los que la ley exige especialmente que se realicen por escrito.
Algunos contratos son inválidos SI NO ESTÁN POR ESCRITO, a menos que ellos, o alguna nota o memorando del mismo, estén por escrito y suscritos por la parte a cobrar o por el agente de la parte:
(a) Un contrato que por sus términos no deba ejecutarse dentro del año siguiente a su celebración.
b) La promesa especial de responder de la deuda ajena, salvo en los casos previstos en el artículo 2794.
(c) Un contrato de arrendamiento por un período superior a un año, o de venta de bienes inmuebles, o de una participación en bienes inmuebles.
(d) Un acuerdo que autoriza o emplea a un agente, corredor o cualquier otra persona para comprar o vender bienes raíces, o arrendar terrenos por un período superior a un año, o para procurar, presentar o encontrar un comprador o vendedor. de bienes inmuebles o al arrendatario o arrendador de bienes inmuebles cuando el arrendamiento sea por un período superior a un año, a cambio de una compensación o una comisión.
(e) Un acuerdo que según sus términos no debe ejecutarse durante la vida del promitente.
(f) Un acuerdo por parte de un comprador de bienes inmuebles para pagar una deuda garantizada por una hipoteca o escritura de fideicomiso sobre la propiedad comprada, a menos que la asunción de la deuda por parte del comprador esté específicamente prevista en el traspaso de la propiedad.
Salvo disposición en contrario, un contrato escrito surte efectos desde su entrega a la parte a cuyo favor se celebra, o a su mandatario.
